Acceptance of terms
These Terms of Service (“Terms”) form a binding agreement between you and GridLights, LLC (“GridLights,” “we,” “us,” or “our”) and govern your access to and use of our websites, hardware, software, applications, and related services (collectively, the “Services”). By creating an account, installing our hardware, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Description of the service
GridLights builds connected IoT products, including ColdSignal — a commercial refrigeration temperature-monitoring platform consisting of wireless sensors, a mesh network, and a dashboard and mobile application. The Services monitor equipment conditions and deliver temperature-excursion alerts and account notifications by push notification, email, SMS text message, and phone call. The Services are monitoring and notification tools; they are not a substitute for your own inspection, safety procedures, or professional judgment.
Accounts and responsibilities
You are responsible for providing accurate account information, keeping your credentials confidential, and maintaining the accuracy of the contact details — including the mobile telephone number and email address — used to deliver alerts. You are responsible for all activity under your account and for ensuring that your hardware is installed, powered, and connected so that it can report data and receive alerts.
Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, accounts, or networks;
- Reverse engineer, resell, or misuse the Services except as expressly permitted;
- Upload malicious code or use the Services in a way that could harm GridLights or other users.
Messaging program terms
The GridLights messaging program is used for transactional temperature alerts and account notifications only. Message frequency is recurring and event-driven, and varies with your device activity and the alert conditions you configure. Message and data rates may apply. You may reply STOP at any time to opt out of text messages and HELP for help. Mobile carriers are not liable for delayed or undelivered messages. You consent to receive these messages by providing your mobile telephone number in the GridLights application and enabling SMS alerts. Intellectual property
The Services, including all software, hardware designs, text, graphics, logos, and other content, are owned by GridLights or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.
Disclaimers of warranty
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GRIDLIGHTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALERTS WILL ALWAYS BE DELIVERED, AS DELIVERY DEPENDS ON FACTORS OUTSIDE OUR CONTROL, INCLUDING NETWORK, CARRIER, AND DEVICE CONDITIONS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDLIGHTS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, INVENTORY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DELAYED OR UNDELIVERED ALERT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO GRIDLIGHTS FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. You may stop using the Services and close your account at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will survive.
Changes to terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after an update takes effect constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Harris County, Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to venue in those courts.
